1. Eligibility: Nestle Ageless Self-Care Bundle Promotion (“Promotion”) is open to legal residents of the 50 United States and District of Columbia who are 18 years of age or older (or 19 for residents of AL & NE) (“Entrant”). Void where prohibited. No purchase necessary to enter the Promotion. Employees of NESTLÉ USA, Brandmovers, Inc. and/or any of their respective affiliates, subsidiaries, advertising agencies, or any other company or individual involved with the design, production execution or distribution of the Promotion (collectively with Sponsor, the "Promotion Entities") and their immediate family (spouse, parents and step-parents, siblings and step-siblings, and children and step-children) and household members of each such employee are not eligible to enter or win. The Promotion is subject to all applicable federal, state, and local laws and regulations. Participation constitutes entrant's full and unconditional agreement to these Official Rules and Sponsor's and Administrator's decisions, which are final and binding in all matters related to the Promotion. Winning a prize is contingent upon fulfilling all requirements set forth herein.
2. Promotion Period: The Promotion begins at 12:00:00 AM Eastern Time (“ET”) on September 15, 2023 and ends on at 11:59:59 AM ET on December 31, 2023 (the "Promotion Period"). The Promotion consists of an instant win game (“Instant Win Game”) and one (1) overall Grand Prize random drawing (collectively, the “Sweepstakes”) that each coincide with the Promotion Period.
3. How to Enter the Promotion. To enter the Promotion, Entrants must visit www.agelesshealthpromotions.com (“Website”) during the Promotion Period. Then, enter with a purchase, visit a brick and mortar or online retailer and make a purchase of any combination of two or more items from the following brands: Osteo Bi-Flex, Nature's Bounty (with the exception of Nature's Bounty KIDS), and Fiber Choice during the Sweepstakes Period (each, a “Qualifying Purchase”). . Then, visit the Website to complete and submit an official entry form, including uploading a copy of your receipt showing your Qualifying Purchase made during the Promotion Period to receive one (1) entry in the Sweepstakes random drawing. Once the entry form and photo of your receipt showing your Qualifying Purchase is received and verified by Sponsor or Administrator, entrant will receive a Sweepstakes entry confirmation email, which will also include an invitation link inviting the entrant to play the Spin to Win Instant Win Game portion of the Promotion on the Website (“Link”).
   
   Limit of one (1) receipt upload per person per day. For purposes of this Promotion, “receipt” of an entry occurs when Sponsor/Administrator's server records the entry information resulting from the entrant selecting the “SUBMIT” button. Automated entries (including but not limited to entries submitted using any robot, script, macro, or other automated service) are not permitted and will be disqualified.
   
   How to play the Instant Win Spin to Win Game - Upon clicking the Link (defined above), each entrant will have a chance to play the Instant Win Game by spinning the Spin To Win wheel featured on the Website. Once you spin the wheel, you will immediately see an Instant Win message appear on-screen. If the Instant Win message says that you are not a winner, you are not a winner of an Instant Win prize, but have earned an additional entry in the Sweepstakes Grand Prize Random Drawing. If the Instant Win message says you are a winner of an Instant Win prize, you will win the prize described on-screen and earn an additional entry in the Sweepstakes Grand Prize Random Drawing (subject to email verification which will be emailed to the potential winner).
   
   FREE METHOD OF ENTRY: To enter the Promotion without making a purchase, hand-printing your full name, address, city, state and zip code, day and evening telephone numbers (including area codes), and e-mail address on a 3"x5" postcard and mailing it in a #10 sealed envelope with proper postage affixed to: Ageless Self-Care Bundle Sweepstakes Mail-in Entry, P.O. Box 93245 Atlanta, GA, 30377, to be postmarked no later than December 31, 2023 and received by January 8, 2024. Upon receipt of each mail-in entry, the entrant will receive one (1) entry into the Sweepstakes random drawing, and Sponsor will play the Spin to Win Instant Win Game portion of the promotion for the entrant. Only winners will be notified. The Instant Win Game winner notification will be emailed to each Instant Win Game winner who entered through the mail-in method of entry.
   
   Limit one (1) Instant Win play per Entrant per day. Each Instant Win prize winner will receive an email from Sponsor confirming their Instant Win prize. The email will contain their Instant Win prize description and instructions on how to verify the winner they are an eligible winner and how to receive their prize. Upon winner verification, each winner will receive their Instant Win prize via email or through the United States Postal Service (depending on the prize, as explained in the winner verification email). Allow 4-6 weeks for mailing of any prize. Sponsor is not responsible for lost, late, stolen, or returned mailing of any prize. Once submitted, an entry cannot be deleted, canceled, or modified. All entries become the property of the Sponsor and will not be acknowledged. Sponsor reserves the right, in its sole discretion, to void any and all entries of an entrant that submits more than the permitted entries, or who Sponsor believes has attempted to tamper with, influence, or impair the administration, security, fairness, or proper play of this Sweepstakes.
   
   Multiple entries in excess of the limit received during the Sweepstakes Period from any person, mobile phone number, household address or email address after the first entry received from that person, household address or email address will be void. Once submitted, an entry cannot be deleted, canceled, or modified. All entries become the property of the Sponsor and will not be acknowledged. Sponsor reserves the right, in its sole discretion, to void any and all entries of an entrant that submits more than the one permitted entry, or who the Sponsor believes has attempted to tamper with, influence, or impair the administration, security, fairness, or proper play of this Sweepstakes.
4. Sweepstakes Grand Prize Random Drawing: There will be a Grand Prize random drawing from among all eligible entries received during the Promotion Period, to be conducted by Administrator, which will occur on or about January 12, 2024. There will be one (1) potential Grand Prize Winner who will be selected and notified by email on or about the day of the random drawing. Odds of winning the Grand Prize depend on the number of eligible entries received throughout the Promotion Period. The Grand Prize winner must respond to the Grand Prize winner notification email within 24 hours of receipt, or will forfeit their right to the Grand Prize and the Grand Prize may then be awarded to an alternate winner, at Sponsor's sole discretion. Grand Prize winner will then be required to complete and return an Affidavit of Eligibility and Liability and Publicity Release (where legal) to Sponsor or Administrator within 7 days of receipt of such Releases, or will forfeit their right to the Grand Prize (at Sponsor's sole discretion). Sponsor will provide the Grand Prize Winner with an IRS Form 1099 reflecting the actual final retail value of the Grand Prize, or such other governmental tax forms that may be necessary, as determined in the sole discretion of Sponsor.
   
   THE POTENTIAL GRAND PRIZE WINNER IS SUBJECT TO VERIFICATION BY ADMINISTRATOR AND SPONSOR'S DECISIONS ARE FINAL AND BINDING IN ALL MATTERS RELATED TO THE PROMOTION.
5. Winners and Odds: There will be a total of 1 Grand Prize, and 10,520 Instant Win Prizes. Each Instant Winner will be determined by a randomly populated time-stamp table of a pre-determined time each day throughout the Promotion Period. For purposes of this Promotion, a day shall begin at 12:00:00 AM ET and end at 11:59:59 PM ET each day during the Promotion Period. Odds of being an Instant Winner depend on the time of day the Instant Win game is played and the number of Instant Winner Prizes remaining available. Limit one (1) Instant Winner per day during the entire Promotion Period. Sponsor's decisions as to the administration and operation of the Promotion is final and binding in all matters related to the Promotion.
6. PRIZES AND APPROXIMATE RETAIL VALUE (“ARV”): One (1) Grand Prize - A $1,000.00 check awarded to the Grand Prize winner. ARV: $1,000.00. Ten thousand Five-hundred twenty (10,520) Instant Win Offers - (20) Vitamin B Bundles. ARV: $100 each. ARV: $2,000. (500) Sponsor-specified $5.00 e-Gift Cards. ARV: $5.00 each. ARV: $2,500. (10,000) $5 Off product coupons when 3 of the following products are purchased (Osteo Bi-Flex®, Nature's Bounty® and Fiber Choice®). ARV: $5 each. ARV: $50,000.
   
   The total ARV of all prizes is $55,500. Prizes are not transferable and may not be redeemed for cash value. All federal, state and local taxes on prize are the sole responsibility of the winner. Grand Prize consists of only the items specifically listed as the prize. No cash redemptions. No substitutions of prize, except as provided herein. Sponsor reserves the right to substitute prize for one of equal or greater value for any reason.
7. Entry Conditions and Release: By entering, each entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of the Sponsor which are binding and final in all matters relating to this Promotion; (b) release and hold harmless the Promotion Entities from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of right of publicity, infringement of trademark, copyright or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant's entry, creation of an entry or submission of an entry, participation in the Promotion, acceptance or use or misuse of prize and/or the broadcast, exploitation or use of entry; and (c) indemnify, defend and hold harmless the Promotion Entities from and against any and all claims, expenses, and liabilities (including reasonable attorney's fees) arising out of or relating to an entrant's participation in the Promotion and/or entrant's acceptance, use or misuse of prize.
8. General Conditions: Sponsor reserves the right to cancel, suspend and/or modify the Promotion, or any part of it, for any reason whatsoever, including, without limitation, fire, flood, natural or man-made epidemic of health of other means, earthquake, explosion, labor dispute or strike, act of God or public enemy, satellite or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared) or any federal state or local government law, order, or regulation, public health crisis, order of any court or jurisdiction or if any fraud, technical failures or any other factor beyond Sponsor's reasonable control impairs the integrity or proper functioning of the Promotion, as determined by Sponsor in its sole discretion. If the Promotion is terminated before the designated end date, Sponsor will (if possible) select the Winners in a random drawing from all eligible, non-suspect entries received as of the date of the event giving rise to the termination. Inclusion in such drawing shall be each entrant’s sole and exclusive remedy under such circumstances. Sponsor reserves the right in its sole discretion to disqualify any individual it finds to be tampering with the entry process or the operation of the Promotion or to be acting in violation of these Official Rules or any other promotion or in an unsportsmanlike or disruptive manner. Any attempt by any person to deliberately undermine the legitimate operation of the Promotion may be a violation of criminal and civil law, and, should such an attempt be made, Sponsor reserves the right to seek damages from any such person to the fullest extent permitted by law. Only the type and quantity of prizes described in these Official Rules will be awarded. The invalidity or unenforceability of any provision of these rules shall not affect the validity or enforceability of any other provision. In the event that any provision is determined to be invalid or otherwise unenforceable or illegal, these rules shall otherwise remain in effect and shall be construed in accordance with their terms as if the invalid or illegal provision were not contained herein. Sponsor's failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
9. Limitations of Liability: The Promotion Entities as set forth above are not responsible for: (1) any incorrect or inaccurate information, whether caused by entrants, printing errors or by any of the equipment or programming associated with or utilized in the Promotion; (2) technical failures of any kind, including, but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (3) unauthorized human intervention in any part of the entry process or the Promotion; (4) technical or human error which may occur in the administration of the Promotion or the processing of entries; or (5) any injury or damage to persons or property which may be caused, directly or indirectly, in whole or in part, from entrant's participation in the Promotion or receipt or use or misuse of any prize. If for any reason an Entry is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, entrant's sole remedy is another Entry in the Promotion, provided that if it is not possible to award another Entry due to discontinuance of the Promotion, or any part of it, for any reason, Sponsor, at its discretion, may elect to hold a random drawing from among all eligible entries received up to the date of discontinuance for any or all of the Prizes offered herein. Entrant further agrees and acknowledges that Sponsor reserves the right to forfeit or award any unclaimed or leftover Prize at its sole discretion.
10. Disputes/Governing Law: Entrant agrees that: (i) any and all disputes, claims and causes of action arising out of or connected with this Promotion, other than those concerning the administration of the Promotion or the determination of Winners or for any disputes arising from the loss or injury from the participation in a Prize, shall be resolved individually, without resort to any form of class action; (ii) any disputes arising out of these Official Rules (except for any disputes arising from the loss or injury from the use of Prizes) shall be submitted to final, binding arbitration conducted in the State of Michigan under the Arbitration Rules and Procedures of the Judicial Arbitration and Mediation Services Inc. before a single, neutral arbitrator who is a former or retired Michigan state or federal court judge with experience in entertainment matters who shall follow Michigan law and the Federal Rules of Evidence and have no authority to award punitive damages. Either party may enforce a final arbitration award in any court of competent jurisdiction in the state of Michigan, including an award of costs, fees and expenses incurred in enforcing the award. Notwithstanding the foregoing, Released Parties shall be entitled to seek injunctive relief (unless otherwise precluded by any other provision of these Official Rules) in the state and federal courts of the state of Michigan. Any dispute or portion thereof, or any claim for a particular form of relief (not otherwise precluded by any other provision of these Official Rules), that may not be arbitrated pursuant to applicable state or federal law may be heard only in a court of competent jurisdiction in the state of Michigan; (iii) any and all claims, judgments and awards shall be limited to actual out-of- pocket costs incurred, including costs associated with entering this Promotion, but in no event attorneys' fees; and (iv) under no circumstances will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim punitive, incidental and consequential damages and any other damages, other than for actual out- of-pocket expenses, and any and all rights to have damages multiplied or otherwise increased. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATIONS OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of Michigan, without giving effect to any choice of law or conflict of law rules (whether of the State of Michigan or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of Michigan.
